1. Who We Are

Welcome to Ma Repose. The website marepose.com (the "Site") and all products sold through it are operated and offered by Novalda Brands LLC, a Wyoming limited liability company ("Ma Repose," "we," "us," or "our"). By accessing the Site or placing an order, you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to purchase from the Site. By ordering, you confirm that you meet these requirements.

3. Our Products

Ma Repose products are cosmetic products intended for at-home personal use only. They are not medical devices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Statements on this Site describe how our products are designed to support the look and feel of skin and hair. Individual results vary, and no specific result is promised or implied.

Please read and follow all instructions included with your product. In particular:

• Microneedle tips are single-use. Never reuse or share a tip.
• Do not use on broken, irritated, or infected skin, or over active breakouts in the treatment area.
• Discontinue use and consult a physician if you experience persistent redness, irritation, or any adverse reaction.
• If you are pregnant, nursing, taking blood-thinning medication, or have a diagnosed skin condition, consult a physician before use.
• Allergen notice: our PDRN products contain ingredients derived from salmon DNA. Do not use if you have a fish allergy.

4. Orders and Acceptance

Your order is an offer to purchase. We may accept or decline any order at our discretion, including for suspected fraud, resale activity, pricing or listing errors, or address issues. We may limit quantities per order, per customer, or per household. If we cancel an order after payment, we will refund it in full.

5. Pricing and Payment

All prices are in U.S. dollars unless otherwise displayed at checkout. Prices, promotions, and product availability may change at any time without notice. Applicable taxes are calculated at checkout. In the event of an obvious pricing error, we may cancel the affected order and refund you. Payment is due in full at the time of order through the payment methods offered at checkout.

6. Shipping

Shipping is governed by our Shipping Policy, which is part of these Terms. Delivery estimates are estimates, not guarantees.

7. Returns, Refunds, and the 90-Day Guarantee

Returns and refunds, including our 90-Day Money Back Guarantee and its conditions, are governed by our Return and Refund Policy, which is part of these Terms.

8. Promotions and Discount Codes

Promotions and discount codes have no cash value, cannot be combined unless expressly stated, apply only to purchases on marepose.com, and may be modified or withdrawn at any time. We may cancel orders that abuse a promotion, including through multiple accounts.

9. Your Account and Conduct

You agree to provide accurate order and contact information and to keep it current. You agree not to use the Site for any unlawful purpose, to interfere with its operation, to scrape or copy its content for commercial use, or to purchase products for unauthorized resale. We may refuse service to anyone who violates these Terms.

10. Reviews and Submitted Content

If you submit reviews, photos, comments, or other content to us or tag us on social media, you grant Ma Repose a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, adapt, and display that content in connection with our business, including in marketing. You confirm that your content is your own, is accurate, and does not violate the rights of any third party.

11. Intellectual Property

All content on the Site, including text, images, graphics, product names, logos, and design, is the property of Novalda Brands LLC or its licensors and is protected by intellectual property laws. You may not use it without our prior written permission.

12. Disclaimer of Warranties

The Site and all products are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free. Nothing in these Terms limits any warranty or right that cannot be limited under applicable law.

13. Limitation of Liability

To the fullest extent permitted by law, Novalda Brands LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Site, these Terms, or any product. To the fullest extent permitted by law, our total aggregate liability for any claim will not exceed the amount you paid for the product giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Novalda Brands LLC from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or products, your violation of these Terms, or your violation of any rights of a third party.

15. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

If you have a dispute with us, contact us first at info@marepose.com. Most concerns can be resolved quickly and informally. We both agree to attempt informal resolution for at least 30 days before starting any formal proceeding.

If we cannot resolve the dispute informally, you and Ma Repose agree that any dispute arising out of or relating to these Terms, the Site, or any product will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in English and may be held remotely. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver: you and Ma Repose each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Exceptions: either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.

Opt-out: you may opt out of this arbitration agreement by emailing info@marepose.com within 30 days of your first order, stating your name, order number, and that you opt out of arbitration.

16. Governing Law

These Terms and any dispute arising from them are governed by the laws of the State of Wyoming, without regard to its conflict of law rules, except where the law of your state or country of residence grants you mandatory consumer protections that apply regardless of choice of law.

17. Changes to These Terms

We may update these Terms from time to time. The version posted on the Site at the time of your order applies to that order. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

18. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Return and Refund Policy, Shipping Policy, and Privacy Policy, are the entire agreement between you and Ma Repose regarding the Site and your purchases.
